Terms of Use
1. General Provisions
These Terms govern the use of the website unimerch-tours.com and the related services provided by Unimerch Tours LLC (hereinafter — the Agency).
By using the website or submitting an inquiry, you confirm that you have read these Terms and agree to be bound by them. If you do not agree, please do not use the website.
2. Services
The Agency organises business tours to the People's Republic of China, including coordination of visits to Chinese enterprises, meetings with senior management, simultaneous interpretation, visa support, and logistics (hotels, transfers, and meals).
The full scope of services for each individual tour is set out in a separate agreement, which is signed prior to payment.
3. Inquiry and Booking
By submitting the website form, you express your interest in our services. This does not constitute a contract — a formal agreement is executed separately following confirmation of the programme and travel dates.
A booking is considered confirmed only upon receipt of a 30% advance payment and written confirmations from the relevant Chinese companies.
4. Payment
Payment is made in two instalments: a 30% advance payment upon confirmation of the programme, and the remaining 70% no later than 7 days prior to the tour's commencement.
We accept bank transfers (VAT-inclusive), credit and debit cards, and PayPal for international clients. All prices are quoted in USD unless explicitly stated otherwise.
5. Cancellation and Refunds
Cancellation 14 or more days before the tour start date — full 100% refund.
Cancellation between 7 and 14 days before the tour start date — 50% refund.
Cancellation less than 7 days before the tour start date — no refund (companies and hotels have already been booked and funds have been committed).
In the event of cancellation due to the Agency's fault — a full 100% refund plus compensation for direct out-of-pocket expenses (visa fees, prepaid flight costs).
6. Liability
The Agency is responsible for the organisational aspects of the tour in accordance with the signed agreement. The Agency shall not be liable for: decisions by Chinese companies to decline a meeting at short notice (in such cases, a proportional refund will be issued), force majeure events (including COVID-19 or border closures), or actions by the client that violate any applicable NDA or the laws of the People's Republic of China.
The Agency's maximum liability shall not exceed the total amount paid for the tour.
7. Intellectual Property
All content on this website — including design, text, and the Unimerch Tours logo — is protected by copyright. Any use without prior written permission is strictly prohibited.
Brand names and logos of third-party companies (such as Alibaba, Huawei, and others) are referenced for informational purposes only. The Agency is not an official partner of any such company unless explicitly stated in a specific agreement.
8. Client Conduct
Throughout the tour, the client undertakes to comply with: the laws of the People's Republic of China, the internal regulations of all visited companies, any signed non-disclosure agreements, and all applicable safety requirements. Failure to comply may result in immediate termination of the tour without a refund.
9. Dispute Resolution
Disputes shall be resolved through good-faith negotiations. Should an amicable resolution prove impossible, the matter shall be referred to the Arbitration Court of the City of Moscow.
For clients resident in the European Union, the applicable law shall be determined by mutual agreement of the parties or, alternatively, by the legislation of the client's country of residence, in accordance with the GDPR and Regulation (EU) 2019/1020.
10. Amendments
The Agency reserves the right to update these Terms at any time. The version in effect at the time a contract is concluded shall continue to apply to that contract. The current version is always available at unimerch-tours.com/terms.
